1. Scope and definitions
This policy applies to services provided by Zodiactech Software & IT Services Pvt. Ltd. (“Zodiac Tech Soft”, “we”, “us” or “our”), including software development, AI and automation, digital growth, creative and film production, 3D and immersive work, event technology, and maintenance and support.
“You” means the client or prospective client who engages us. “Services” means the work described in a written proposal, statement of work, invoice or other written agreement. “Fees” means amounts payable or paid for those services.
If a signed agreement contains different cancellation or refund terms for a specific engagement, that signed agreement takes precedence for that engagement.
2. Nature of our services
Our services are professional, made-to-order and depend on reserved team time, planning, production and third-party commitments. Work can begin before a deliverable is complete, and costs can be committed on your behalf early in an engagement. For that reason, fees are generally non-refundable once paid.
3. Non-refundable and non-transferable
Except as required by applicable law, or as expressly agreed by us in writing, payments once made are non-refundable and non-transferable. This means amounts paid cannot be transferred to another project, entity, family member or third party, or carried forward as credit, unless we agree in writing.
- Advance payments reserve team capacity and may be applied against work as it is performed.
- Fees for completed, delivered, approved or licensed work are not refundable.
- Third-party costs we have committed to on your behalf — including subscriptions, licences, domains, hosting, media, travel and production bookings — are not refundable where the third party does not refund them.
- Retainers and annual maintenance contracts are not refundable for periods already used or resources already committed.
Where a refund is approved, it is returned to the original payment method and is not transferable to another person or project.
4. Cancellation before work begins
If you cancel after paying an advance but before work has begun, we will reconcile the amount against any setup, planning, reserved capacity, third-party commitments or other costs already incurred. Any unused balance may, at our discretion and unless the proposal says otherwise, be refunded. We will explain the reconciliation in writing.
5. Cancellation after work begins
If you cancel after work has begun, amounts paid for completed work, approved milestones and non-cancellable third-party commitments are not refundable. Any remaining unused advance will be reconciled against work performed and costs committed, and may be refunded at our discretion unless the proposal says otherwise.
Where work stops mid-engagement, we will provide a written account of work performed and costs incurred. Any deliverable completed and handed over remains subject to payment for the work up to that point.
6. Delivered or approved work
Fees for completed, delivered, approved or licensed work are not refundable. This includes films, designs, campaigns, code, content, 3D and immersive work, event delivery, documentation and training materials, and any deliverable that has been accepted or made available to you.
If you believe a deliverable does not match the agreed scope, please tell us in writing. We will review the concern and, where the scope has not been met, correct the work or agree another reasonable remedy. A change of mind, a change in business direction or a decision not to use the deliverable does not create a refund right.
7. Retainers and AMC
Monthly retainers and annual maintenance contracts are billed for reserved capacity, planned support and commitments made on your behalf. They are not refundable for periods already used or resources already committed. Cancellation or non-renewal follows the notice period in the applicable agreement; amounts for future unused periods will be handled as that agreement provides.
Support work outside the agreed scope, emergency response and additional development are quoted separately and are not covered by a refund of retainer or AMC fees.
8. If we cannot deliver
If we are unable to deliver a service for reasons within our control, we will offer to complete the work, provide a suitable alternative, or refund the amount paid for the undelivered part after deducting work already performed and third-party costs. We will confirm the proposed remedy in writing.
Delays or failures caused by events outside our reasonable control — including third-party outages, platform changes, government restrictions, strikes, natural events or your failure to provide required materials, approvals or access — do not automatically create a refund right. We will work with you in good faith on a reasonable next step.
9. How to request a refund
Send a written request to sam.andnkar1990@gmail.com with:
- your name, organisation and the project name or invoice number;
- the amount and date of the payment concerned;
- the reason for the request; and
- the outcome you are asking for.
Please mark the subject line “Refund request”. We may need to verify the payment and review the project record before responding. We will acknowledge the request and explain the next step in writing.
10. Refund processing
Where a refund is approved, we will process it to the original payment method. The time it takes to appear depends on the payment provider, bank or card issuer and is outside our control. We will confirm when we have initiated the refund.
We do not control chargeback timelines or decisions made by a payment provider. If you have a concern, please contact us first so we can try to resolve it directly.
11. Mandatory rights
Nothing in this policy excludes or limits any refund, cancellation or other right you may have under mandatory applicable law, including consumer-protection law where it applies. If a mandatory legal right gives you a remedy that is broader than this policy, that right prevails.
12. Governing Law & Exclusive Jurisdiction
Any dispute, disagreement, claim, or legal matter arising out of or in connection with the services, transactions, agreements, or relationship between the Company and the customer/client shall be subject to the applicable laws of India.
The parties agree that the courts located in Chandrapur District, Maharashtra, India, shall have exclusive jurisdiction over any such dispute or legal proceeding.
Accordingly, any legal proceedings arising in connection with the Company, its services, transactions, or agreements shall be instituted only before the competent courts having jurisdiction in Chandrapur District, Maharashtra, and the parties agree not to initiate such proceedings before courts having jurisdiction elsewhere, to the extent legally permissible.
The Company reserves all rights, remedies, and protections available to it under applicable law. Nothing in this policy shall be construed as a waiver of any right or remedy available to the Company.
